These Terms of Service ("Terms") govern your use of the website mdregisteredagent.org (the "Site") and the resident agent services (the "Services") provided by Maryland Registered Agent ("we," "us," or "our"). By using our Site or Services, you agree to these Terms.

1. Services Provided

Maryland Registered Agent provides resident agent services in Maryland, including:

• Maintaining a registered street address in Maryland for your business entity
• Accepting service of process and other legal documents on your behalf
• Scanning and forwarding documents to you electronically
• Sending compliance reminders for annual reports and filing deadlines
• Providing access to an online document portal

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the authority to enter into these Terms on behalf of the business entity you are registering
• Provide accurate and complete information during enrollment

3. Service Term and Pricing

• Our resident agent service is priced at $99 per year
• The service term begins on the date of enrollment and renews annually unless cancelled
• Prices are subject to change with 30 days' advance notice before your renewal date

4. Payment

• Payment is due at the time of enrollment and upon each annual renewal
• We accept major credit cards and other payment methods as indicated on the Site
• If payment fails, we will attempt to notify you and may suspend Services until payment is received

5. Your Responsibilities

You agree to:

• Provide accurate and current business information
• Notify us promptly of any changes to your entity name, address, or contact information
• Maintain your entity in good standing with the State Department of Assessments and Taxation (SDAT)
• Retrieve and act on forwarded documents in a timely manner

6. Document Handling

• We will accept documents delivered to your registered address during normal business hours
• Documents will be scanned and forwarded to you electronically, typically within the same business day
• We are not responsible for the content or legal implications of documents received
• Physical documents will be retained for a reasonable period and then securely destroyed

7. Not a Law Firm

Maryland Registered Agent is not a law firm and does not provide legal advice. Our Services are limited to resident agent functions as described herein. For legal advice, consult a licensed attorney. We do not provide tax advice, business formation counsel, or legal representation.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from the Services is limited to the amount you paid for the Services in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for any damages resulting from delays in document forwarding caused by events beyond our reasonable control

9. Cancellation

• You may cancel your Services at any time by contacting us at support@mdregisteredagent.org
• Cancellation takes effect at the end of your current service term
• No refunds are provided for partial service terms, except at our discretion
• Upon cancellation, you are responsible for designating a new resident agent with the State Department of Assessments and Taxation (SDAT)

10. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the state of Maryland. Any disputes arising from these Terms or the Services will be resolved in the courts located in Maryland.

12. Indemnification

You agree to indemnify and hold harmless Maryland Registered Agent, its owners, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Services or violation of these Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Maryland Registered Agent regarding the Services.
